Welcome to Wellspring

These Terms of Service ("Terms") govern your use of Wellspring studio management software, operated by Wellspring Ventures, LLC ("Wellspring," "we," "us," or "our"). By signing up for or using Wellspring, you agree to these Terms.

We've written these Terms in plain language because we believe in transparency. If you have questions, reach out to us at hello@wellspring.club.

The short version: We provide studio management software on a month-to-month basis. You own your data. You can cancel anytime. We'll treat you fairly, and we expect the same in return.

1. Service Agreement

No Long-Term Contracts

Wellspring operates on a month-to-month basis. There are no annual commitments, no lock-in periods, and no cancellation fees. You can cancel your subscription at any time, effective at the end of your current billing period.

Who Can Sign Up

Wellspring is designed for businesses - yoga studios, fitness centers, wellness spaces, and similar establishments. By signing up, you represent that you are authorized to enter into this agreement on behalf of your business. You must be at least 18 years old to create an account.

30-Day Money-Back Guarantee

If Wellspring isn't the right fit for your studio, let us know within 30 days of your first payment and we'll refund you in full. No questions asked, no hoops to jump through.

2. Payment Terms

Billing

  • Subscriptions are billed monthly in advance on the same date each month.
  • Solo: $300/month (1 location, up to 200 members). Duo: $600/month (up to 2 locations, 400 members). Multi: Custom pricing for larger operations.
  • No setup fees. No hidden charges. The price you see is the price you pay.

Failed Payments

If a payment fails, here's what happens:

  • Day 1: Payment fails. We'll email you to update your payment method.
  • Day 3: Second attempt. Warning email sent.
  • Day 7: Final attempt. Account suspension warning.
  • Day 8: Account suspended (read-only mode - your members cannot book classes).
  • Day 30: If still unpaid, we'll offer a data export, then schedule deletion.

Your account reactivates immediately upon successful payment. We're not here to punish you for a billing hiccup.

Payment Processing

Your studio's payments from members are processed through Helcim, a PCI-compliant payment processor. Wellspring does not store credit card numbers or sensitive payment information. Your Helcim merchant account is yours - payments go directly to your bank account, not through us.

3. Your Data

You Own Your Data

All data you create in Wellspring - member lists, booking history, class schedules, payment records, and studio content - belongs to you. We are custodians of your data, not owners. We will never sell, rent, or share your data with third parties for their marketing purposes.

Data Export

If you decide to leave Wellspring, you can request a complete export of your data. We'll provide it in a standard format (CSV/JSON) within 14 days of your request. Your data is yours to take with you - no export fees, no artificial barriers.

Data Retention After Cancellation

After you cancel, we retain your data for 30 days in case you change your mind or need to retrieve something. After 30 days, your data is permanently deleted from our systems. If you need an extension, just ask.

4. Service Levels

Uptime Commitment

We commit to 99.9% uptime for Wellspring services, excluding scheduled maintenance. This means no more than approximately 45 minutes of unplanned downtime per month.

If we fall short, you may request a service credit:

Monthly Uptime Service Credit
99.5% - 99.9% 10% of monthly fee
99.0% - 99.5% 25% of monthly fee
Below 99.0% 50% of monthly fee (maximum)

Scheduled Maintenance

We schedule maintenance during low-traffic hours (typically midnight to 4am MST) and provide at least 7 days advance notice via email. Scheduled maintenance does not count against our uptime commitment.

Support Response Times

  • All plans: Same-day response during business hours (Monday-Friday, 9am-5pm MST). You have direct access to Kyle — no ticket queues or chatbots.
  • Urgent issues: For system-wide outages or critical problems, reach out anytime — we monitor for emergencies 24/7.

5. Acceptable Use

What You Can Do

Use Wellspring for its intended purpose: managing your yoga studio, fitness center, or wellness business. This includes scheduling classes, managing members, processing payments, sending studio-related communications, and building your online presence.

What's Not Allowed

  • Spam or unsolicited emails: Use the email system only for legitimate studio communications with your members. No cold outreach, purchased lists, or marketing to non-members.
  • Illegal activity: Don't use Wellspring for anything illegal, fraudulent, or harmful.
  • Reselling access: Your Wellspring account is for your studio. Don't resell or sublicense access to others.
  • Abuse or harassment: Treat our team with respect. Verbal abuse, threats, or harassment will result in immediate termination.
  • System abuse: Don't attempt to hack, overload, or interfere with Wellspring's systems or other studios' accounts.

6. Termination

You Can Cancel Anytime

Cancel your subscription at any time from your account settings or by emailing us. Your access continues until the end of your current billing period. There are no cancellation fees.

When We May Terminate

We may suspend or terminate your account if:

  • Your payment is more than 60 days overdue.
  • You violate our Acceptable Use policy.
  • You engage in illegal activity through the platform.
  • You abuse or harass our team members.

For violations other than non-payment, we'll make reasonable efforts to warn you first and give you a chance to correct the issue, unless the violation is severe or illegal.

After Termination

When your account is terminated (by you or us), you have 30 days to request a data export. After 30 days, your data is permanently deleted. If termination was due to a violation, we reserve the right to delete data immediately if required by law.

7. Liability & Disclaimers

Limitation of Liability

To the maximum extent permitted by law, Wellspring's total liability for any claims arising from your use of the service is limited to the greater of:

  • (a) The fees you paid to Wellspring in the 6 months preceding the claim, or
  • (b) $2,500

This limitation applies to all claims, including but not limited to data breaches, service interruptions, or errors in the software.

Third-Party Services

Wellspring integrates with third-party services like Helcim (payments) and Postmark (email). We are not responsible for outages, errors, or issues with these third-party services. Your use of Helcim is governed by Helcim's terms; your relationship with your payment processor is between you and them.

"As Is" Service

Wellspring is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the service will be error-free, uninterrupted, or meet your specific requirements. We're committed to providing great software, but we can't promise perfection.

8. General Terms

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you via email at least 30 days before they take effect. Your continued use of Wellspring after the changes take effect constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Colorado, USA. Any disputes will be resolved in the state or federal courts located in Colorado.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Wellspring regarding your use of the service. They supersede any prior agreements or communications.
